These Terms of Service ("Terms") govern your access to and use of the Subtool website (https://subtool.app) and any related services (collectively, the "Service") provided by Subtool ("Company," "we," or "us"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.
2. Description of Service
The Service provided by Subtool allows users to access and utilize various tools and features for subtitle generation, customization, and exporting. You understand and agree that the Service may include advertisements, sponsored content, or links to third-party websites, which are beyond the control of the Company.
3. User Accounts and Registration
In order to access certain features of the Service, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
4. Prohibited Conduct
You agree not to engage in any of the following prohibited activities while using the Service:
- Violating any applicable laws or regulations;
- Interfering with or disrupting the integrity or performance of the Service;
- Attempting to gain unauthorized access to the Service or its related systems or networks;
- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;

The Service and its original content, features, and functionality are owned by Subtool and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6. Disclaimer of Warranty
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied. You use the Service at your own risk. The Company does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
7. Limitation of Liability
In no event shall the Company or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
8. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Manitoba. Any dispute arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts located in Winnipeg, Canada.
10. Changes to the Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.
